These Terms of Service ("Terms") govern your access to and use of the IDNexus ("Service"), operated by Skillnexus Orbit Limited ("we", "us", "our"). The Service is available globally, but these Terms are governed by the laws of the Federal Republic of Nigeria. By creating an account, purchasing credits, or making any API call, you agree to be bound by these Terms.

Summary: You buy credits. Each verification call costs credits. You must have lawful consent before verifying anyone's identity or submitting biometric material. Credits are non-refundable and non-withdrawable once they land in your balance — they exist solely to pay for API calls.

1. Who may use the Service

You must be at least 18 years old and legally capable of entering into contracts under your local law. If you are using the Service on behalf of a company, you represent that you have authority to bind that company to these Terms.

You may not use the Service if you are barred from doing so under Nigerian law, the laws of your jurisdiction, or applicable international sanctions regimes, or if you have previously been suspended from the Service.

2. Account registration and security

You agree to provide accurate, current, and complete information during registration. You are responsible for maintaining the confidentiality of your password, session tokens, and API keys. You are solely responsible for all activity that occurs under your account.

You must notify us immediately at security@skillnexus.uk if you suspect any unauthorised access to your account or API keys. We are not liable for any loss arising from your failure to secure your credentials.

API keys

API keys grant full access to your credit balance and are treated as your credentials. Store them in environment variables or secrets managers — never in client-side code, public repositories, or shared documents. You may revoke any API key at any time from your dashboard. Revocation is immediate.

3. Credits and payment

The Service operates on a prepaid credit system. 1 credit equals USD $0.01. You purchase credits in advance, and each verification call deducts credits from your balance at the rates published on your dashboard.

Top-ups

Credits are purchased through our payment partners (Paystack, Flutterwave, and TransFi). All charges are processed in Nigerian Naira (NGN) at the exchange rate displayed at checkout. Prices are displayed in USD for reference only; the actual charge is the NGN equivalent at the time of purchase.

Credits are added to your balance after payment confirmation. This is typically immediate but may take up to 15 minutes during peak periods or when our payment provider's webhook is delayed.

Credits are non-refundable and non-withdrawable.

Once your payment has been successful and the corresponding credits appear in your balance, those credits:

  • cannot be refunded to your card, bank account, or any other payment method;
  • cannot be withdrawn in cash or transferred to another user's account;
  • cannot be converted to fiat currency, cryptocurrency, or any other asset;
  • exist solely to be consumed by API calls to the Service.

Unused credits do not expire, but they are permanently tied to your account and can only be consumed through the Service.

If credits do not reflect after payment

If your payment succeeds on the payment provider's side but your credit balance does not update within 15 minutes, contact support@skillnexus.uk immediately with your transaction reference, the amount paid, the payment provider used, and the time of payment. We will reconcile the transaction and either credit your balance manually or, where reconciliation is impossible, refund the payment through the original channel. This support-driven reconciliation is the only path by which a payment can be reversed.

Do not attempt to initiate a chargeback with your bank or payment provider without first contacting support — chargebacks are treated as a breach of these Terms and will result in immediate account suspension pending investigation.

You may use the Service only for lawful verification purposes. This means you must have a valid legal basis for verifying each individual, and you must obtain their informed consent before submitting their biometric material, identity information, or any government-issued document for verification.

You must not use the Service to:

  • Verify anyone who has not given you explicit consent
  • Verify your own identity for the purpose of defrauding a third party
  • Impersonate any person or entity
  • Circumvent, disable, or interfere with security-related features
  • Conduct surveillance, stalking, harassment, or doxxing
  • Bulk-scrape identity data or iterate through identity number ranges
  • Build a competing database of personal information
  • Violate the Nigeria Data Protection Act (NDPA) 2023 or any other applicable privacy law in your jurisdiction
  • Violate any sanctions or export control laws

We reserve the right to suspend or terminate your account without notice if we reasonably believe you have violated these provisions or if we receive a credible complaint from a data subject or regulator.

5. Biometric and identity data

The Service processes sensitive personal data as defined under the Nigeria Data Protection Act 2023, including biometric facial data, identity documents, and verification attributes such as identity numbers or phone records where a verification call requires them.

Our processing of this data is governed by our Privacy Policy, which forms part of these Terms. You acknowledge that:

  • We transmit verification inputs to third-party providers for validation
  • We store hashed (irreversible) versions of identity numbers for audit purposes only — we never store raw identity numbers
  • We do not store facial images or biometric templates beyond the duration of a single verification session
  • You, not IDNexus, are the data controller for the personal data you submit for verification

6. Service quality and availability

We aim for 99.5% monthly uptime for the API, excluding scheduled maintenance. We do not offer a formal Service Level Agreement (SLA) on the starter and standard plans. Enterprise customers may negotiate a custom SLA in a separate written agreement.

The Service is engineered for accuracy and auditability. Verification results are produced by layered checks — presentation-attack detection, document readability scoring, and biometric comparison — and each result carries a confidence score you can use to set your own thresholds.

The Service depends on third-party providers (Google Cloud, identity data partners, and payment providers). Outages of those providers may affect your ability to use the Service. We are not liable for third-party outages, but we will communicate incidents promptly.

7. Intellectual property

We own all rights to the Service, including our software, documentation, brand, and logos. You may not copy, modify, distribute, or reverse-engineer the Service except as expressly permitted.

You retain all rights to the data you submit. By submitting data, you grant us a limited, non-exclusive license to process it solely for the purpose of delivering the Service to you.

8. Disclaimers

The Service is provided "as is" and "as available". We do not warrant that verification results will be 100% accurate, error-free, or uninterrupted. Verification involves probabilistic matching — a "verified" result indicates that the submitted data matched our providers' records to our confidence threshold, not a guarantee of identity.

We disclaim all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement, to the maximum extent permitted by Nigerian law.

9. Limitation of liability

To the maximum extent permitted by law, our total cumulative liability arising from or relating to these Terms or the Service shall not exceed the greater of (a) the amount you paid us in the 12 months preceding the claim, or (b) USD $500.

We are not liable for indirect, incidental, consequential, or punitive damages, including lost profits, lost revenue, or loss of data, even if we have been advised of the possibility of such damages.

10. Indemnification

You agree to indemnify and hold IDNexus harmless from any claims, damages, liabilities, costs, and expenses (including reasonable legal fees) arising from:

  • Your use of the Service in violation of these Terms
  • Your failure to obtain proper consent from a data subject
  • Any data you submit that infringes third-party rights or violates law
  • Any regulatory action brought against you as a result of your use of the Service

11. Suspension and termination

We may suspend or terminate your access immediately, without notice, if:

  • You violate these Terms or applicable law
  • We are required to do so by law or regulatory order
  • Your account is used for fraud, abuse, or illegal activity
  • Payment for a top-up is reversed or charged back

You may terminate your account at any time by emailing support@skillnexus.uk. Upon termination, any remaining credit balance is forfeited — it is non-refundable and non-withdrawable in all cases, including voluntary account closure.

12. Changes to these Terms

We may update these Terms from time to time. Material changes will be communicated by email at least 14 days before they take effect. Continued use of the Service after the effective date constitutes acceptance of the updated Terms.

13. Governing law and disputes

These Terms are governed by the laws of the Federal Republic of Nigeria, regardless of where you access the Service from. Any dispute arising from or relating to these Terms shall first be resolved by negotiation in good faith. If negotiation fails, the dispute shall be submitted to the exclusive jurisdiction of the courts of Lagos State, Nigeria.

If you are located outside Nigeria, you remain bound by these Terms and by Nigerian law for all matters relating to the Service. Nothing in this clause limits any mandatory consumer protections you may have under the law of your country of residence.
